What services do you offer for businesses?
We provide a range of services including business incorporations, shareholder agreements, contract drafting and review, assistance with business purchases and sales, and ongoing legal support tailored to your needs.
What is the process for incorporating a business?
The incorporation process is completed through the ISC – Corporate Registry online portal. It involves searching a business name (if needed), setting up the share classes and rights, setting up your directors/officers and shareholders and adding corporate bylaws.
While you can incorporate yourself online, the system only allows for a very simple corporate structure which may not meet your future or current corporate needs. We can assist you with selecting the correct corporate structure that meets your current and future needs and avoids costly reorganizations or amendments in the future.
I currently have a sole proprietorship and wish to incorporate – can I keep my name?
Yes! As the owner of that business name, you can transfer the name to your corporation. You will be required to search the name again at corporate registry though.
What is the cost to incorporate?
Legal fees for incorporation may vary depending on the type of corporation you are incorporating so reach out to Bridge City Law Office for a specific quote. Corporate Registry fees are $255.00 for the incorporation and $50.00 for a name search (if required). It is recommended to also get a corporate seal (stamp with your corporate name on it) and a Minute Book to keep your corporate records.
You will also be required to file a return with the Corporate Registry annually to confirm you are still actively carrying on business and that your address/contact information has not changed.
What is a professional corporation and how do I get one?
A professional corporation is a special type of corporation that allows certain professionals to practice their professions through a corporate entity. This structure provides benefits like limiting their liability and also potentially provides some tax benefits.
The specific professions that are currently allowed to operate through a professional corporation are: doctors, dentists, veterinarians, lawyers, accountants, realtors, certified management consultant, chiropractors, occupational therapists, optometrists, physical therapists, podiatrists and psychologists
To set up a professional corporation, you need the permission of your governing body. You will also be required to name your corporation in certain specific ways that clearly identify it as a professional corporation. Here at Bridge City Law Office, we are experienced in navigating this unique corporate structure and can assist you in ensuring it is set up properly and complies with your governing body’s bylaws.
I want to start a non-profit or a charity – can you help?
Yes! We have extensive experience setting up and assisting non-profit corporations. We can assist with registering your non-profit and can also assist with corporate governance and advising board members of their legal roles and obligations.
A charity is a non-profit corporation that has achieved a charitable designation from the Canada Revenue Agency. We can assist with setting up the corporation and connecting you with accountants to assist with the application for charity designation.
